Nature of B2B Services
Klapio operates as a premier B2B corporate gifting, custom apparel manufacturing, and employee engagement fulfillment provider. Our specialized offerings include custom welcome kits, festive gift hampers, executive tech merchandise, and home textiles delivered across India. All services are B2B-oriented and governed by written quotations, formal purchase orders, and proforma invoices.
Eligibility & Corporate Authority
By placing a bulk order, requesting physical sample boxes, or confirming a customized production run, you represent that you hold necessary organizational authority to bind your company or entity to these commercial terms.
Orders, Quotations & Acceptance
All corporate orders are processed based on explicit written confirmation via official email, signed purchase orders (PO), or WhatsApp agreement. Quotations issued by Klapio remain valid for 7–15 calendar days from issuance due to raw material and component price fluctuations.
Pricing, GST Invoicing & Tax Credit Compliance
Quoted prices are exclusive of applicable Goods and Services Tax (GST) unless explicitly stated. Klapio issues 100% tax credit-compliant GST tax invoices for all corporate accounts upon dispatch, ensuring complete input tax credit (ITC) eligibility under Indian GST laws.
Customization, Proofs & Artwork Approvals
All logo vector files (AI, EPS, high-res PDF), embroidery placement mockups, and laser engraving digital proofs require formal client approval prior to production. Klapio is not liable for spelling errors or brand asset discrepancies once formal digital/physical proofs are signed off. Minor shade variations (5-8%) may occur across batch dye runs in apparel or laser depth variations on natural wood.
Payment Terms & Advance Billing
Standard corporate terms require an advance deposit (typically 50%) prior to raw material procurement and logo branding, with the remaining balance due prior to dispatch, unless credit terms (MSME/Enterprise PO) are agreed upon in writing. Delayed payments may impact agreed dispatch SLAs.
Delivery, Dispatch & Pan-India SLA Logistics
Delivery timelines provided during quotation represent estimated working days. While Klapio maintains a 99% on-time dispatch record via premier 3PL partners (Blue Dart, Delhivery, DTDC), Klapio is not liable for transit delays caused by incorrect recipient addresses, weather disruptions, national holidays, or regional entry checkpoints.
Returns, Cancellations & Damage Claims
Because corporate items are custom-branded with corporate logos, orders are non-cancellable once production commences and non-returnable. Any physical transit damage or item defects must be reported to our desk within 48 hours of delivery accompanied by unboxing photos/video proof. Verified defective units will be promptly replaced or credited.
Intellectual Property & Brand Assets
Clients retain full ownership of their corporate trademarks, logos, and brand guidelines. By submitting artwork, you grant Klapio a limited license to apply your logos to ordered merchandise. Website graphics, photographs, and original catalog layouts remain the exclusive property of Klapio Corporates.
Limitation of Liability
Klapio’s aggregate financial liability under any order or circumstance is strictly capped at the total monetary value received for that specific purchase order. Klapio shall not be liable for indirect loss of profit, business interruption, or consequential delays.
Governing Law & Jurisdiction
These terms and commercial transactions are governed by the laws of India, including the Indian Contract Act, 1872 and Information Technology Act, 2000. Any legal disputes shall be subject to the exclusive jurisdiction of the competent courts in Gurgaon / Delhi NCR, India.
Force Majeure
Neither party shall be held responsible for delays or failure in performance caused by acts of God, extreme weather events, civil unrest, transport strikes, or statutory government curfews beyond reasonable control.
